Terms of Service
Article 1. Purpose
These Terms of Service (hereinafter "Terms") govern the conditions and procedures for use of the K-influencer Academy Platform (KAP) (Learning Management System, hereinafter "Service") made available by K-Brain Company, Inc. (hereinafter "Company"), as well as all other matters incidental thereto. Access to the Service is limited exclusively to overseas influencers who have received official notification of final selection for a K-influencer assignment.
Article 2. Effect and Amendment of Terms
① These Terms shall become effective upon publication on the Service interface and upon the User's express consent thereto via the Service interface.
② The Company reserves the right to amend these Terms upon reasonable grounds. Any amendment shall be posted on the Service's main page, together with the effective date, grounds for amendment, and the existing Terms. A User who continues to access the Service after the effective date of any amendment shall be deemed to have consented to the amended Terms.
③ A User who has agreed to the previous Terms and continues to access the Service after the effective date of any amendment shall be deemed to have consented to the amended Terms.

Article 3. Governing Rules
Any matter not expressly provided for in these Terms shall be governed, in the first instance, by applicable statutes and regulations and, in the absence thereof, by the Guidelines for Consumer Protection in Electronic Commerce promulgated by the Korean government, other relevant legislation, or prevailing commercial practice.
Article 4. Definitions
For the purposes of these Terms, the following definitions shall apply:
1. "Service" means the K-influencer Academy Platform (KAP), comprising the online learning management system provided by the Company to persons who have passed the K-influencer assignment selection process, together with all associated content, communication features, and related functionality.
2. "User" is a collective term referring to any person who accesses the Service. Users are consist of (i) Overseas Influencer Members and (ii) Administrators, namely the entity that commissioned the K-influencer assignment and the company entrusted with its operation.

3. "Overseas Influencer Member" means an overseas influencer who has received official notification of final selection through the K-influencer assignment selection process and has completed registration as a member of the Service upon agreeing to these Terms.
4. "Administrator (Enterprise)" means an organisation that has furnished enterprise information, registered as a Service administrator, and has been authorised to monitor the learning progress of Overseas Influencer Members and to manage assignment operations (i.e., the Commissioning Entity and the Contracted Operator of the K-influencer assignment).
5. "Content" means all learning-related materials made available within the Service, including, without limitation, lectures, videos, documents, assignments, and missions.
6. "Assignment" means any promotional or creative activity-related mission designated by the Company for Overseas Influencer Members.
Article 5. Formation of Service Agreement
① A service agreement is formed upon (i) the submission of an application by an overseas influencer who has received final selection notification for the K-influencer assignment, and (ii) that person's express consent to these Terms.
② An applicant must provide such personal information as the Company may request, including, without limitation, the applicant's full name, e-mail address, channel information, and channel URL.
③ Any person applying to use the Service acknowledges and agrees that submitted videos may be edited, reproduced, and used by the Ministry of Culture, Sports and Tourism and Korea International Broadcasting Foundation (Arirang TV) for non-commercial purposes, including promotional, educational, and other program-related activities.
④ In the case of an Administrator (Enterprise), the service agreement is formed upon the Company's acceptance of the application; in the case of an Overseas Influencer Member, the agreement is formed upon completion of the registration process following receipt of the final selection notification.
⑤ The Company may decline to accept, or may rescind its acceptance of, an application in any of the following circumstances:

⑤ The Company may decline to accept, or may rescind its acceptance of, an application in any of the following circumstances:
(a) The applicant is not a final selectee of the K-influencer assignment;
(b) The application was submitted using another person's identity;
(c) The application contains false or misleading information; or
(d) The application was submitted for purposes incompatible with public order or accepted standards of morality.
Article 6. Consent to Use of Member Information
① The Company attaches the utmost importance to the protection of Users' personal information. Details regarding the Company's personal data handling practices are set out in the separate Privacy Policy.
② (Purpose of Collection and Use) Personal information collected upon registration for the Service shall be collected and used for the purposes of performing the service agreement, delivering the Service, administering and managing assignments, and maintaining learning history records.
③ Secondary use and disclosure to third parties: User information shall not, as a general rule, be disclosed to any third party other than the Administrator (Enterprise). Notwithstanding the foregoing, where operationally necessary for the conduct of an assignment, the Company may disclose such information after providing advance notice to the User of the identity of the recipient, the purpose of disclosure, and the content of the information to be disclosed, and obtaining the User's consent.
④ Access and rectification: Users may access and rectify their personal information at any time through the member profile management function; provided, however, that the user ID shall remain fixed as originally set. Users must not share their user ID or password with any third party and must log out upon ending each session.
⑤ Consent to collection: The act of completing and submitting a registration form shall be deemed to constitute the User's consent to the Company's collection, use, and disclosure of the information provided, in accordance with these Terms.
⑥ Retention and use period: Personal information shall be retained and used from the date of membership registration until the completion of the account deletion process. Upon receipt of a withdrawal request, the Company shall destroy the relevant personal information without undue delay. Notwithstanding the foregoing, where retention is required by applicable law, the Company may retain such information for the period prescribed thereunder.
Article 7. Access to and Restrictions on the Service
① The Service is, in principle, available twenty-four (24) hours a day, three hundred and sixty-five (365) days a year, except where technically or operationally impracticable.
② The Company may temporarily restrict access to the Service, by way of exception, for system maintenance, updates, or such other purposes as the Company deems necessary, and shall provide advance notice in such cases.

Article 8. Obligations of the Company
① The Company shall maintain and manage its Service infrastructure in a manner adequate to ensure stable service delivery and shall effect any necessary repairs or restoration without undue delay in the event of a failure.
② The Company shall not disclose or distribute to any third party any personal information of Users obtained in connection with the provision of the Service, without the prior consent of the User concerned. The Company shall bear no liability where information is compromised as a result of the User's own negligence.
③ Notwithstanding paragraph ② above, disclosure shall be permitted where required by a governmental authority pursuant to applicable law, or where a warrant issued by a judicial officer for investigative purposes is presented.
④ The Company shall post notice on the Service interface of any amendment to these Terms or any material change to the Service.

Article 9. Obligations of Users
① Users are prohibited from engaging in any of the following conduct in connection with their use of the Service:
(a) Misappropriating the account credentials or personal information of another User;
(b) Reproducing, distributing, publishing, or furnishing to any third party any Content or learning materials available through the Service without the Company's prior written consent;
(c) Making defamatory statements or otherwise damaging the reputation of another User or any third party;
(d) Disseminating material that violates public order or accepted standards of morality;
(e) Engaging in, or facilitating, conduct reasonably deemed to constitute an anti-national, anti-social, or criminal act;
(f) Infringing the copyright or any other intellectual property or proprietary right of another User or any third party;
(g) Interfering with the stable operation of the Service, including by way of spamming or distributing malicious code;
(h) Sharing, transferring, or assigning one's account to any other person without the Company's prior authorisation;
(i) Any other conduct in contravention of applicable laws or regulations.
② Users shall comply with these Terms, the Service usage guidelines, and all applicable operating policies.
Article 10. User Responsibility for Service Use
① The User bears sole responsibility for the management and security of their user ID and password.
② Users may not share, transfer, or lend their user ID to any other person.
③ The User shall be solely responsible for any negligence in service use or any unauthorised use by a third party occurring through the User's ID.
④ Users may update their registered member information at any time; provided, however, that unique identifiers, including the user ID, full name, and e-mail address, may not be altered.

Article 11. Restriction and Suspension of Service
① The Company may suspend the Service in any of the following circumstances:
(a) Where a suspension is unavoidable due to repair or construction work on Service infrastructure; or
(b) Where a licensed telecommunications carrier suspends its telecommunications services.
② Where a state of war, civil disturbance, natural disaster, or equivalent national emergency arises or is apprehended, or where any other unavoidable cause exists, the Company may restrict or suspend all or part of the Service.
Article 12. Removal of User-Generated Content and Restriction of Service Use
① Where the Company determines that the storage capacity of its Service infrastructure is running low, the Company may remove content posted or registered by Users.

(a) Makes fraudulent use of another person's user ID;
(b) Is defamatory toward another person;
(c) Disseminates material that violates public order or accepted standards of morality;
(d) Is reasonably deemed to be connected with anti-national, anti-social, or criminal conduct;
(e) Infringes upon another person's copyright or other rights; or
(f) Is otherwise in contravention of applicable laws or regulations.
Article 13. Restriction and Termination of Service Agreement
① A User who wishes to terminate their service agreement must submit an account deletion request through the Service.
② The Company may terminate a User's service agreement without prior notice or suspend the provision of Service for a fixed period not exceeding one (1) month, in any of the following circumstances:

(a) The User has used another person's ID;
(b) The User's eligibility as a K-influencer assignment selectee has lapsed;
(c) The User has intentionally disrupted the operation of the Service;
(d) The User has intentionally disseminated content detrimental to public order or accepted standards of morality;
(e) The User has damaged the reputation of, or caused detriment to, another person; or
(f) The User is otherwise deemed unsuitable to hold membership.
Article 14. Rights in Posted Materials
① All rights in, and responsibility for, content posted by a User on the Service vest in and rest with the poster. The Company may not exploit such content for commercial gain without the prior consent of the poster. For non-commercial purposes, however, the Company may post and utilise such content within the Service without the poster's consent.
② Without the prior consent of the poster, no User may process, sell, or otherwise exploit for commercial purposes any material posted on the Service or any information obtained through the use of the Service.
